Terms & Conditions of Service

These Terms & Conditions govern the provision of bespoke web development, hospitality brand positioning, direct booking engine architecture, and maintenance consulting by Viva La Design ("VLD", "we", "our") to commercial clients ("Client", "you").

1. Nature of Services

Viva La Design operates as a specialized digital architecture and software engineering agency for luxury hotels, independent resorts, and high-end hospitality brands. Our deliverables include:

• Custom Digital Flagship Web Platforms & User Interface Architecture.
• Direct Booking Engine Integration & PMS / Channel Manager Synchronization.
• Editorial Art Direction, Interactive Prototyping, and Performance Engineering.
• High-Speed Infrastructure Setup, Hosting Configuration, and Ongoing Support Retainers.

2. Project Engagement & Commercial Billing

• Proposals & Scope: All engagements commence upon formal execution of a Statement of Work (SOW) or digital acceptance of an authorized Project Proposal.
• Milestone Payments: Client engagements are billed in structured milestones (e.g., Initial Strategy & Design Deposit, Mid-Development Sprint, Final Production Deployment).
• Payment Processing: Commercial payments are securely cleared via bank wire (NEFT/RTGS/SWIFT) or our Reserve Bank of India approved digital payment gateway, Cashfree Payments. Invoices are payable within 7 business days of issuance.
• Taxes: All fees are subject to statutory Goods and Services Tax (GST) or applicable cross-border withholding regulations as itemized on official tax invoices.

3. Intellectual Property Rights & Deliverables

Upon receipt of 100% cleared payment for a designated project milestone, all bespoke frontend code, custom design assets, brand identity guidelines, and bespoke reservation interfaces created exclusively for the Client become the sole intellectual property of the Client. Viva La Design retains non-exclusive rights to showcase anonymized work samples within our portfolio.

4. Limitation of Liability

Viva La Design provides bespoke software and architecture tailored to client specifications. In no event shall Viva La Design be liable for indirect, incidental, or consequential damages resulting from third-party hosting outages, PMS API deprecations, or external payment processor disruptions beyond our direct control.

5. Governing Law & Jurisdiction

These terms and any disputes arising under project engagements shall be governed by and construed in accordance with the laws of India, subject to the exclusive jurisdiction of the courts located in Nashik, Maharashtra, India.
